These Terms of Trade govern the purchase of vehicles through Provide Cars.
By placing a bid, requesting a purchase, making a payment, or otherwise using Provide Cars’ services, the customer agrees to be bound by these Terms of Trade.

Please read these Terms carefully before using our services.

Deposit Payment

Provide Cars shall only be obliged to bid on vehicles at Japanese used vehicle auctions, or to purchase vehicles from individuals or dealers in Japan, after the customer has paid the required deposit.

The required deposit shall be as follows:

- JPY 100,000 for a vehicle with a purchase price of less than JPY 1,000,000;  

- 10% of the purchase price for a vehicle with a purchase price of JPY 1,000,000 or more.

If the customer is unsuccessful in purchasing a vehicle through Provide Cars, the deposit shall be refunded upon request to the original remitting party, less a bank transfer handling fee of JPY 5,000.

Provide Cars may refuse to place a bid or proceed with a purchase request until the required deposit has been received and confirmed.

Bidding

All bids placed through Provide Cars are made on a proxy basis.

This means that the customer does not place bids directly with the auction house. Instead, Provide Cars receives the customer’s bid instruction and places the bid on the customer’s behalf through the relevant Japanese auction system.

Provide Cars reserves the right not to place a bid. Reasons include, but are not limited to, the following:

- unpaid balances for previous purchases;  

- major issues affecting the exportability of the vehicle;  

- internal allocation or bidding priority decisions made by Provide Cars;  

- a reasonable belief that the vehicle may not be eligible for import into the customer’s country due to local laws, regulations, or vehicle specifications.

It is the customer’s responsibility to clearly advise Provide Cars of the customer’s maximum bid limit and any special bidding instructions.

The customer must submit any bid instruction by 9:00 a.m. Japan time on the day of the auction unless otherwise agreed in writing.

Provide Cars will make reasonable efforts to accommodate late bid requests, but late requests may not be processed or prioritized.

Provide Cars shall only be responsible for processing a bid cancellation request if that request is received at least one hour before the published auction time.

For any vehicle with a published auction time after 5:00 p.m., the customer must complete any cancellation request through the bidding page by 4:00 p.m. Japan time.

If a cancellation request is not received in time, any resulting auction penalties, cancellation charges, reauction costs, or other related losses shall be borne by the customer. Such costs are often around JPY 70,000, but may be higher depending on the auction house and circumstances.

Restrictions on Fund Transfers

Due to Japanese legal, regulatory, and banking compliance requirements, Provide Cars will not transfer funds unrelated to vehicle purchases, except for refunds of deposits or customer funds to the original remitting source.

For example, Provide Cars will not transfer funds to another dealer, supplier, or third party in Japan on behalf of the customer.

If customer funds remain in Japan, Provide Cars may, upon request, arrange for those funds to be returned to the original country and original remitting source, subject to applicable bank charges, exchange losses, compliance requirements, and any other related costs.

Storage Costs

Unless otherwise agreed in writing, any storage fees incurred more than one month after the date of purchase shall be charged to the customer.

Storage fees may arise for various reasons, including but not limited to shipping delays, container shortages, port congestion, delayed documentation, delayed export arrangements, or delayed payment by the customer.

If the customer delays payment after purchase, any delay in export caused by that delayed payment, together with any resulting storage charges, shall be borne by the customer.

Vehicles Purchased Through Negotiation

Some vehicles that do not meet the seller’s reserve price at auction may still be purchased through post-auction negotiation.

Any fee charged for purchasing a vehicle through post-auction negotiation shall be added to the customer’s total purchase cost and, where applicable, included in the relevant invoice.

Such negotiation fees are commonly around JPY 10,000, but may vary depending on the auction house or seller.

Higher Auction Fees

Certain auction houses charge higher auction fees than others.

Any such additional auction fee shall be added to the customer’s total cost and, where applicable, included in the relevant invoice.

For example, some Aucnet auctions may charge auction fees of JPY 35,000, and some tender auctions may charge an additional fee of approximately JPY 10,000.

Inland Transport Costs

The cost of inland transport from the auction location to the export yard or port shall be added to the customer’s total cost and, where applicable, included in the relevant invoice.

The customer will be informed of the inland transport cost by the assigned sales representative or agent.

The customer acknowledges that inland transport costs may vary depending on the location of the auction, changes in fuel prices, transport regulations, driver availability, weather, or other operational conditions.

A vehicle purchased at a more distant auction may still be cost-effective overall if the vehicle price is sufficiently lower.

Present-Damage and “As Is” Vehicles

Any unforeseen costs arising from the purchase, handling, movement, preparation, repair preparation, or export processing of vehicles sold on a present-damage, “as is,” “as is, where is,” or similar basis shall be added to the customer’s total cost.

Such vehicles carry a high degree of risk.

Some such vehicles are operable, while others are not. Some may have mechanical failures, oil leaks, structural damage, transport difficulties, or other issues that only become apparent after purchase.

Any cost required to move, store, inspect, prepare, or otherwise handle such vehicles for export shall be borne by the customer.

Translations

The customer may request a translation of the auction sheet before bidding.

If a translation is requested before bidding, Provide Cars will not place the bid until the customer has reviewed the translation and confirmed the bidding instruction, unless the customer expressly instructs Provide Cars to proceed without waiting for the translation.

Translation requests will be handled in the order received. At busy times, translations may not be completed before the auction begins.

If a translation has not yet been completed, the customer may still place a provisional bid instruction, but Provide Cars will not proceed with the bid until the customer has reviewed the translation and confirmed the bidding instruction, unless the customer expressly instructs otherwise.

Any material issue expressly stated on the auction sheet but omitted or mistranslated by Provide Cars shall be the responsibility of Provide Cars.

If the auction sheet expressly states an issue and that issue is missed by Provide Cars in translation, responsibility for that omission shall lie with Provide Cars.

Provide Cars shall not be responsible for issues that are not stated on the auction sheet.

If the customer wishes, Provide Cars may request an additional condition check from the auction house or auction staff, where such a service is available. The cost of such a check is usually around JPY 1,000, but may vary.

Log books, maintenance books, and service records will be passed to the customer wherever possible if provided with the vehicle. However, the presence of circles or marks on the auction sheet does not guarantee that such books contain any entries or useful service history.

Unless otherwise requested, such documents will normally be placed in the vehicle before export. If the customer requests a more secure delivery method, such documents may be sent separately by courier at the customer’s expense.

For the avoidance of doubt, Clauses 12 to 15 shall still apply, except where a material issue expressly stated on the auction sheet was omitted or mistranslated by Provide Cars.

Commission and Additional Charges

The following commission charges apply to each vehicle purchased through Provide Cars.

For a single vehicle purchase, the commission shall be JPY 90,000 plus 5% of the auction purchase price, plus inland transport to the export port for RoRo shipment.

For customers purchasing five or more vehicles in a calendar month, the commission shall be JPY 80,000 plus 3% of the auction purchase price per vehicle, plus inland transport to the export port for RoRo shipment.

Additional costs apply to container shipments.

Container shipments, whether sold on FOB or CIF terms, may require additional charges including, but not limited to, vanning charges, THC (terminal handling charges), port-related charges, inspection costs, or special handling fees.

Additional costs may also arise depending on the requirements of the importing country, the type of vehicle, seasonal treatment requirements, or the need for special handling or equipment.

Such charges will be notified to the customer when reasonably possible.

Year of Manufacture and First Registration

Unless otherwise stated, the year shown for vehicles sold through Japanese auctions is generally based on the vehicle’s first registration date in Japan, and not on its actual production date.

Customers are solely responsible for confirming whether import regulations in their country are based on the year of manufacture, the first registration date, model year, or any other classification standard.

Provide Cars shall not be responsible for any loss, delay, import problem, or additional cost arising from the customer’s failure to confirm the applicable import standard in the destination country.

Claims for Vehicles with Odometer Readings Over 100,000 km

Claims relating to purchased vehicles with odometer readings over 100,000 km will not be accepted.

Vehicles with mileage above 100,000 km commonly require maintenance, repair, replacement of parts, or other work associated with wear and age.

The risk of mechanical, wear-related, age-related, or maintenance-related issues in such vehicles shall be borne by the buyer and not by Provide Cars.

Rust or Corrosion in Vehicles More Than 10 Years Old

Claims relating to rust or corrosion in vehicles more than 10 years old will not be accepted.

Due to Japan’s climate, coastal environment, winter road conditions, and the use of de-icing salts in snow areas, vehicles more than 10 years old commonly show some degree of rust or corrosion, whether on the body, underbody, exhaust system, suspension, or other components.

The risk of such rust or corrosion shall be borne by the buyer and not by Provide Cars.

Modified or Aftermarket Vehicles

Mechanical claims relating to vehicles fitted with aftermarket parts or modified components will not be accepted.

This includes, but is not limited to, vehicles modified with aftermarket suspension, turbochargers, ECUs, exhaust systems, body parts, driveline components, or other non-original parts.

Such vehicles inherently carry additional structural, safety, mechanical, electrical, and reliability risks when altered beyond the manufacturer’s original specifications.

The buyer accepts these risks and acknowledges that Provide Cars does not guarantee the quality, legality, installation standard, safety, or long-term performance of any modified or aftermarket component.

Repaired Vehicles, Grade 3 or Lower Vehicles, and Ungraded Vehicles

Claims relating to repaired vehicles, vehicles graded 3 or lower, or ungraded vehicles will not be accepted.

Provide Cars does not guarantee that any repair work carried out on such a vehicle meets the buyer’s preferred standard, local standard, import standard, or any other expected quality level.

A grade of 3 or lower may indicate prior repairs, replaced panels, poor exterior condition, significant wear, or other issues depending on the auction house’s grading standards.

Ungraded vehicles, often sold on an “as is” basis and sometimes without full auction sheet information, involve a high level of risk for the buyer.

The buyer accepts these risks and acknowledges that no claims will be accepted in relation to such vehicles except where Provide Cars has expressly agreed otherwise in writing.

General Interpretation

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

These Terms shall be interpreted in good faith in light of the commercial nature of used vehicle auctions, export logistics, auction grading systems, and the inherent risks of purchasing used vehicles.

Any waiver by Provide Cars of any right under these Terms shall not operate as a continuing waiver of that right or any other right.

Provide Cars may update these Terms from time to time. The version in effect at the time of the relevant bid, purchase request, or payment shall apply unless otherwise agreed in writing.
